At Powers Equipment Auctions, we believe successful auctions are built on honesty, communication, professional representation, and treating both buyers and sellers fairly. Our goal is to provide a transparent, professional, and straightforward auction experience from registration through final pickup. By registering to bid, placing a bid, purchasing an item, accessing the auction platform, entering auction premises, or participating in any auction conducted by Powers Equipment Auctions, you acknowledge that you have read, understood, and agreed to these Terms & Conditions. All bids are legally binding and constitute a contractual obligation to purchase. Please read these Terms & Conditions carefully, as they form a legally binding agreement between you and Powers Equipment Auctions. Powers Equipment Auctions reserves the right to modify, update, or revise these Terms & Conditions at any time by posting an updated version on its website or auction platform. Continued use of the website, bidding platform, or participation in any auction constitutes acceptance of the current Terms & Conditions. Powers Equipment Auctions further reserves the right to postpone, extend, modify, suspend, reschedule, or cancel any auction, lot, bidding schedule, inspection period, load-out period, or auction event at any time and for any reason deemed necessary to maintain the integrity of the auction process.

Bidder Registration & Eligibility
All bidders must register prior to bidding and provide accurate, complete, and current contact, identification, and payment information. By registering, each bidder certifies that they are at least eighteen (18) years of age, legally authorized to enter into binding contracts, have provided truthful registration information, and are financially capable of completing any purchases made through the auction platform. Bidders are responsible for maintaining the confidentiality of their account credentials and accept full responsibility for all activity conducted under their account. Powers Equipment Auctions reserves the right to approve, deny, suspend, restrict, or terminate bidding privileges at any time and may require additional identification, proof of funds, bank references, tax exemption documentation, or other information before approving registration, releasing purchases, or completing a transaction. Providing false, misleading, incomplete, or fraudulent information may result in suspension of bidding privileges, cancellation of purchases, and any other remedies available under these Terms & Conditions or applicable law.
Buyer Representations
By registering, bidding, purchasing, or otherwise participating in any auction conducted by Powers Equipment Auctions, the bidder represents, warrants, and agrees that all registration, contact, payment, and identification information provided is accurate, complete, and current; that the bidder is at least eighteen (18) years of age and legally authorized to enter into binding contracts; and that the bidder possesses the financial ability and intent to complete all purchases and obligations arising from bids placed. The bidder further acknowledges that they have reviewed and accepted these Terms & Conditions, have had the opportunity to inspect items, conduct due diligence, and ask questions prior to bidding, and are relying solely upon their own inspection, investigation, and judgment when placing bids. Any bid submitted constitutes a legally binding offer to purchase and creates an obligation to fulfill all payment, pickup, removal, transportation, registration, and ownership requirements associated with a successful purchase. Any misrepresentation, fraudulent activity, failure to disclose material information, or inability to fulfill purchase obligations may result in cancellation of purchases, suspension of bidding privileges, legal action, and any other remedies available to Powers Equipment Auctions under these Terms & Conditions and applicable law.
Bidding Information
All bids placed through Powers Equipment Auctions are legally binding and irrevocable. By placing a bid, the bidder enters into a legally enforceable agreement to purchase the item if determined to be the winning bidder. The online bidding platform may utilize maximum bidding, proxy bidding, reserve pricing, staggered closing, and soft-close (auto-extend) functionality. Bidders are solely responsible for understanding how the bidding platform operates, monitoring auction activity, reviewing auction listings, and ensuring bids are submitted prior to the close of bidding. Failure to monitor an auction, accidental bids, bidding errors, internet interruptions, technical difficulties, or misunderstanding of auction procedures shall not relieve a bidder of any obligation arising from a bid or purchase. Powers Equipment Auctions reserves the right to reject, remove, cancel, or void bids determined to be fraudulent, erroneous, suspicious, non-compliant with these Terms & Conditions, or otherwise detrimental to the integrity of the auction process. Once placed, bids may not be withdrawn, retracted, or modified except at the sole discretion of Powers Equipment Auctions. By bidding, bidders acknowledge that they have reviewed the auction listing, conducted any desired due diligence, and accept full responsibility for all bids placed under their account.
Auction Closing & Bid Increments
Many auctions conducted by Powers Equipment Auctions utilize a soft-close (auto-extend) format. If a bid is placed during the designated extension period, bidding for that lot may automatically extend for an additional period of time as specified in the auction listing. Extensions may continue until bidding activity ceases and the lot remains inactive for the full extension period. Lots may close independently, and extended bidding on one lot may not affect the closing time of other lots. Powers Equipment Auctions reserves the right to modify closing times, extension periods, lot order, auction format, bidding increments, or auction procedures at any time to maintain the integrity and orderly conduct of the auction.

Powers Equipment Auctions reserves the right to adjust bidding increments, minimum bid requirements, reserve prices, extension periods, and bidding procedures at its sole discretion and without prior notice when necessary to facilitate the auction process.
Auction Company Rights
Powers Equipment Auctions reserves the right to reject bids, remove bidders, refuse service, withdraw items, group or divide lots, correct cataloging or clerical errors, reopen bidding, resolve bidding disputes, modify auction formats, adjust bid increments, extend or alter closing times, postpone, suspend, reschedule, or cancel auctions or lots at its sole discretion. Powers Equipment Auctions may also require additional bidder verification, proof of funds, impose bidding limits, or restrict participation when necessary to protect the integrity of the auction process. In the event of a dispute, clerical error, technical issue, system malfunction, or circumstance not specifically addressed within these Terms & Conditions, Powers Equipment Auctions reserves the right to make all final determinations, and its decisions shall be final and binding on all parties.
Reserve Auctions & Seller Confirmation
Certain lots may be offered subject to reserve price, seller confirmation, lender approval, payoff requirements, title release, or other conditions disclosed in the auction listing. Items subject to reserve or seller confirmation are not considered sold until acceptance of the final bid has been confirmed by Powers Equipment Auctions. The highest bid does not automatically guarantee the sale of an item. Where permitted by law, Powers Equipment Auctions may place bids on behalf of the seller up to the reserve amount to protect the seller's reserve interest. Powers Equipment Auctions reserves the right to withdraw, pass, no-sale, reopen bidding, extend bidding, cancel, or otherwise modify the sale status of any lot that does not meet reserve, seller confirmation, lender approval, payoff requirements, title release, or other sale conditions. By bidding on such items, bidders acknowledge that final approval may be required and agree that Powers Equipment Auctions' determination regarding sale status shall be final and binding.
Online Bidding Disclaimer
Powers Equipment Auctions utilizes third-party software, internet services, mobile applications, servers, and communication systems to facilitate online bidding. While every effort is made to provide a reliable bidding experience, Powers Equipment Auctions does not guarantee uninterrupted access to the bidding platform and shall not be liable for missed bids, delayed bids, internet interruptions, connectivity issues, platform outages, software malfunctions, mobile application failures, power failures, user errors, or other technical issues of any kind. Bidders are solely responsible for maintaining a reliable internet connection, monitoring auction activity, and submitting bids in a timely manner. In the event of a technical issue, system malfunction, bidding dispute, clerical error, or other unforeseen circumstance, Powers Equipment Auctions reserves the right to pause, extend, reopen, reschedule, modify, or cancel bidding or auction procedures at its sole discretion. The decisions of Powers Equipment Auctions regarding technical issues, bidding disputes, and auction administration shall be final and binding on all parties.
Credit Card Authorization.
By registering to bid, the bidder authorizes Powers Equipment Auctions to verify, pre-authorize, and charge the payment method provided during registration for purchases, Buyer's Premiums, sales tax, convenience fees, title fees, storage fees, transfer fees, shipping charges, administrative fees, collection costs, unpaid balances, and other amounts owed under these Terms & Conditions. Credit cards may be validated or pre-authorized prior to bidding, and Powers Equipment Auctions reserves the right to require alternative payment methods, request additional verification, or impose payment restrictions at its sole discretion. The bidder represents that they are an authorized user of the payment method provided and agrees not to initiate chargebacks, payment reversals, or disputes for valid auction purchases or authorized charges. Any chargeback, payment reversal, fraudulent payment activity, or failure to satisfy amounts owed may result in suspension of bidding privileges, cancellation of purchases, collection activity, legal action, and recovery of all associated costs, fees, and expenses permitted by law.
Payment Terms
All sales are final. A bid constitutes a legally binding contract between the bidder and Powers Equipment Auctions. Payment is due within forty-eight (48) hours of auction close unless otherwise stated in the auction listing. Accepted payment methods may include ACH transfer, wire transfer, cash, certified funds, cashier's check, and approved credit or debit cards. Credit and debit card payments are accepted for invoices up to $1,000 unless otherwise approved by Powers Equipment Auctions. A 3.5% convenience fee applies to all credit and debit card transactions. Current processing fees are $25 for ACH transfers, $25 for domestic wire transfers, and $45 for international wire transfers. Powers Equipment Auctions does not offer financing or payment plans unless specifically approved in writing. Purchased items, equipment, vehicles, and titles will not be released until payment has been received, verified, and fully cleared. Returned checks, failed ACH payments, insufficient funds transactions, stop payments, payment reversals, or chargebacks may result in additional fees, collection activity, suspension of bidding privileges, repossession of purchased items, and other remedies available under these Terms & Conditions and applicable law. By submitting payment, the bidder acknowledges responsibility for all purchases, Buyer's Premiums, taxes, title fees, storage fees, shipping charges, and all other amounts due under these Terms & Conditions.
Buyer's Premium & Sales Tax
A 10% Buyer's Premium will be added to the final bid price of all purchases, with a maximum Buyer's Premium of $1,000 per lot, unless otherwise stated in the auction listing. Powers Equipment Auctions reserves the right to establish different Buyer's Premium rates, caps, minimum fees, or fee structures for specific auctions, events, or asset categories, which will be disclosed in the applicable auction listing. Applicable sales tax will be collected where required by law unless valid exemption documentation is provided and approved prior to settlement. Buyers are responsible for providing all required exemption certificates and supporting documentation before payment. Buyer's Premiums, title fees, processing fees, shipping charges, storage fees, transfer fees, and other applicable charges may be subject to sales tax where required by law. Out-of-state buyers remain responsible for complying with all applicable tax, registration, licensing, and reporting requirements in their jurisdiction.

Powers Equipment Auctions reserves the right to correct invoicing, tax calculations, clerical errors, and fee calculations discovered before or after settlement to comply with applicable laws and regulations.
AS-IS, WHERE-IS
ALL ITEMS ARE SOLD "AS-IS, WHERE-IS, WITH ALL FAULTS" and without any warranties or guarantees, express or implied. Powers Equipment Auctions, its consignors, sellers, employees, agents, and representatives make no warranties regarding condition, functionality, merchantability, fitness for a particular purpose, operability, safety, age, authenticity, hours, mileage, title status, lien status, emissions compliance, service history, repair history, ownership history, or the accuracy of descriptions, photographs, videos, measurements, specifications, or other information provided. All descriptions and information are believed to be accurate but are provided for convenience only and are not guaranteed. Bidders are solely responsible for inspecting items and determining conditions, value, suitability, and intended use prior to bidding. By placing a bid, the bidder acknowledges that they are relying solely upon their own inspection, investigation, and judgment and not upon any representation made by Powers Equipment Auctions or the seller. ALL SALES ARE FINAL. No refunds, returns, exchanges, cancellations, credits, chargebacks, or purchase reversals shall be permitted except as required by law. Upon sale, the purchaser assumes all responsibility and risks associated with ownership, transportation, operation, maintenance, registration, and use of the purchased item.
Inspection Terms
Bidders are strongly encouraged to inspect items prior to bidding. Inspection dates, times, and locations, when available, will be provided in the auction listing. Bidders are solely responsible for conducting any inspections, investigations, research, or due diligence they deem necessary before placing a bid. Failure to inspect an item, attend an inspection period, request additional information, or ask questions prior to bidding shall not relieve the bidder of any obligation arising from the purchase. Descriptions, photographs, videos, measurements, serial numbers, hour meter readings, odometer readings, and other information provided by Powers Equipment Auctions are offered as a courtesy and should not be considered a substitute for personal inspection. By placing a bid, the bidder acknowledges that they have either inspected the item to their satisfaction or voluntarily waved their right to inspect and accept the item based solely upon their own judgment. Failure to inspect does not relieve the bidder of responsibility for payment, pickup, removal, transportation, ownership obligations, or compliance with these Terms & Conditions.
Pickup & Removal
Unless otherwise stated in the auction listing, all purchased items must be removed during the posted load-out and pickup dates and hours. Buyers are solely responsible for loading, rigging, transportation, labor, insurance, permits, and any equipment necessary for safe removal and transportation. Any assistance provided by Powers Equipment Auctions, its employees, representatives, consignors, property owners, or agents is offered solely as a courtesy, and neither Powers Equipment Auctions nor any affiliated party shall be liable for damage to vehicles, trailers, equipment, purchased items, property, or personal injury occurring during loading, removal, transportation, or handling. Buyers unable to remove items during the designated pickup period must contact Powers Equipment Auctions before the end of the load-out period to request special arrangements, which may be subject to additional fees and are not guaranteed. Buyers are responsible for verifying that all items associated with their invoice have been received prior to leaving the pickup location. Items not removed during the designated pickup period and without approved arrangements may be subject to storage, transportation, relocation, administration, abandonment, and resale fees. Powers Equipment Auctions reserves the right to repossess, relocate, store, reconsign, resell, or otherwise dispose of unclaimed property and recover all related costs. Failure to remove purchased items within the designated pickup period may result in suspension or revocation of bidding privileges.
Shipping Terms
Shipping may be available on selected items but is not guaranteed. Buyers are encouraged to arrange their own pickup and transportation whenever possible and should contact Powers Equipment Auctions prior to bidding to confirm shipping availability. All shipping, packaging, handling, transportation, storage, insurance, and related expenses are the sole responsibility of the purchaser. Purchased items must be paid in full before shipment will be arranged. Shipping dates and delivery timelines are estimates only and are not guaranteed. Once an item has been transferred to a shipping carrier, freight company, transportation provider, or buyer-designated representative, all risk of loss, damage, theft, delay, or destruction transfers to the purchaser. Powers Equipment Auctions assumes no responsibility for items while in transit and shall not be liable for shipping delays, damage, shortages, loss, or claims arising during transportation. Any shipping or transportation assistance provided by Powers Equipment Auctions is offered solely as a courtesy and shall not create any warranty or liability regarding delivery or condition of purchased items.
Titled Vehicles & Equipment
A $75 title processing fee will be added to applicable titled vehicle, trailer, and equipment purchases unless otherwise stated in the auction listing. Titles will not be processed or released until full payment has been received, verified, and all required documentation has been completed. Unless otherwise stated, titles will generally be sent by Certified Mail approximately fifteen (15) business days after settlement funds have cleared to the name and address provided during registration. Title processing and delivery timelines are estimates only and may be delayed due to lender releases, consignor paperwork, title reassignment requirements, DMV processing, or other circumstances beyond the control of Powers Equipment Auctions.
Buyers are solely responsible for registration, titling, licensing, insurance, transportation, taxes, fees, and compliance with all applicable laws. Powers Equipment Auctions does not issue temporary registrations, permits, or license plates unless specifically authorized by law.
Certain vehicles, trailers, equipment, attachments, and other assets may be sold as salvage, parts-only, scrap, non-running, non-repairable, untitled, or without ownership documentation. Such items are sold strictly AS-IS, WHERE-IS, WITH ALL FAULTS, and Powers Equipment Auctions makes no representation or warranty regarding title eligibility, registration eligibility, ownership history, lien status, roadworthiness, safety compliance, emissions compliance, repairability, insurability, or legal use. Buyers are solely responsible for determining the condition, title status, ownership documentation, registration requirements, transportation requirements, legal compliance, and suitability of any item prior to bidding. No refunds, returns, exchanges, cancellations, credits, chargebacks, or price adjustments shall be permitted due to title issues, registration restrictions, ownership documentation issues, mechanical condition, or any other matter relating to the asset.
Risk of Loss
Risk of loss, damage, theft, destruction, or liability associated with a purchased item transfers immediately to the buyer upon the close of bidding and declaration of the item as sold, or upon issuance of an invoice to the successful bidder, whichever occurs first. Upon transfer of risk, the buyer assumes full responsibility for ownership, storage, security, insurance, transportation, registration, licensing, maintenance, and compliance with applicable laws. Purchased items remaining on auction premises, consignor property, or any designated storage location after the transfer of risk remain solely at the buyer's risk. Powers Equipment Auctions, consignors, sellers, property owners, and their respective employees, agents, and representatives shall not be responsible for loss, theft, vandalism, fire, weather-related damage, accidents, or other damage occurring after risk has transferred to the buyer. The transfer of risk applies regardless of whether the item has been removed, paid for, shipped, titled, registered, or otherwise transferred into the buyer's possession.
Consignor & Ownership Disclosure
Powers Equipment Auctions, Inc. acts solely as auctioneer and agent on behalf of consignors and sellers unless otherwise disclosed in writing. Unless specifically stated otherwise, Powers Equipment Auctions does not take ownership of consigned assets and makes no independent warranty or guarantee regarding ownership history, lien status, title status, service history, repair history, mileage accuracy, hour meter accuracy, condition, authenticity, operability, or suitability of any item offered for sale. Information provided in auction listings, advertisements, photographs, videos, inspections, verbal communications, and other materials may be obtained from consignors, sellers, public records, inspections, manufacturers, or other sources believed to be reliable; however, such information is provided for convenience only and is not guaranteed. Buyers are solely responsible for conducting their own inspections, title searches, lien searches, investigations, and due diligence prior to bidding. By participating in an auction, bidders acknowledge that Powers Equipment Auctions is acting as an intermediary between buyer and seller and is not responsible for errors, omissions, undisclosed defects, title issues, ownership disputes, lien claims, or representations made by consignors, sellers, or third parties.
Non-Payment & Chargebacks
Failure to comply with these Terms & Conditions, including payment obligations, pickup requirements, removal deadlines, or other contractual responsibilities, shall constitute default. In the event of default, Powers Equipment Auctions may cancel the sale, retain deposits and fees, repossess or resell purchased items, assess storage, transportation, handling, administrative, and resale fees, suspend or revoke bidding privileges, pursue collection activity or legal action, and recover attorney fees, court costs, collection expenses, and other enforcement-related costs permitted by law. Unpaid or unclaimed items remaining after the designated pickup period and without approved arrangements may be deemed abandoned and become the property of Powers Equipment Auctions without refund. If purchased items are repossessed or resold due to buyer default, the defaulting buyer shall remain responsible for any deficiency, together with all related costs and expenses. Bidders agree not to initiate chargebacks, payment reversals, stop-payment orders, or other payment disputes for valid auction purchases or authorized charges. Any improper chargeback, payment reversal, or disputed transaction may result in immediate suspension of bidding privileges, collection activity, legal action, and recovery of all associated damages, fees, costs, and expenses. Powers Equipment Auctions reserves all rights and remedies available under these Terms & Conditions, applicable law, and the Uniform Commercial Code (UCC), where applicable.
Indemnification & Limitation of Liability
By registering, bidding, purchasing, attending an auction, entering auction premises, participating in inspections, loading or removing purchased items, arranging transportation, or otherwise participating in any auction conducted by Powers Equipment Auctions, each bidder, buyer, consignor, visitor, contractor, transporter, agent, and representative agrees to defend, indemnify, and hold harmless Powers Equipment Auctions, Inc., its owners, employees, agents, affiliates, consignors, sellers, property owners, and representatives from any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorney fees, arising out of participation in any auction activity, attendance at auction sites, ownership or use of purchased items, loading or transportation activities, personal injury, death, property damage, environmental damage, violations of law, or breach of these Terms & Conditions.
All persons entering auction premises do so at their own risk. Powers Equipment Auctions shall not be liable for accidents, injuries, illness, death, theft, vandalism, weather-related damage, equipment failure, property damage, or losses of any kind occurring before, during, or after an auction event.
To the fullest extent permitted by law, Powers Equipment Auctions shall not be liable for any indirect, incidental, consequential, special, punitive, or economic damages arising from any auction transaction. In all events, the maximum liability of Powers Equipment Auctions shall not exceed the amount actually paid by the purchaser for the specific item giving rise to the claim. The indemnification and limitation of liability provisions contained herein shall survive the completion of the auction transaction and termination of the parties' relationship.
Force Majeure
Powers Equipment Auctions shall not be liable for any delay, interruption, suspension, cancellation, modification, or failure to perform caused by events beyond its reasonable control, including but not limited to severe weather, natural disasters, fire, flood, epidemics, pandemics, war, terrorism, civil unrest, government actions, labor disputes, utility failures, power outages, internet or communication failures, cybersecurity incidents, software or technology disruptions, transportation delays, supply chain interruptions, or acts of third parties. In the event of a Force Majeure occurrence, Powers Equipment Auctions reserves the right to postpone, extend, suspend, modify, reschedule, relocate, or cancel any auction, bidding period, inspection, pickup, shipment, title transfer, payment deadline, or related activity without liability. No delay or failure resulting from a Force Majeure event shall constitute a breach of these Terms & Conditions.
Media & Intellectual Property
All photographs, videos, catalogs, auction listings, descriptions, logos, trademarks, branding materials, advertisements, website content, social media content, and other marketing materials created or published by Powers Equipment Auctions remain the property of Powers Equipment Auctions or its licensors and are protected by applicable intellectual property laws. No content may be copied, reproduced, distributed, modified, published, or used for commercial purposes without prior written permission from Powers Equipment Auctions. By participating in an auction, bidders, buyers, consignors, and attendees grant Powers Equipment Auctions the right to photograph, record, and use images, video, audio, company names, equipment images, and auction-related content for advertising, promotional, educational, archival, and marketing purposes without additional notice or compensation. Unauthorized use of Powers Equipment Auctions' intellectual property may result in legal action and all remedies available under applicable law.
Governing Law & Disputes
These Terms & Conditions and all auction transactions conducted by Powers Equipment Auctions shall be governed by the laws of the State of Wisconsin. Any claim, dispute, legal action, or proceeding arising out of or relating to an auction, bid, purchase, sale, payment, pickup, transportation, title transfer, ownership dispute, or these Terms & Conditions shall be brought exclusively in the state or federal courts located in Green County, Wisconsin. By registering, bidding, purchasing, or participating in any auction conducted by Powers Equipment Auctions, all parties consent to the jurisdiction and venue of such courts and waive any objection to jurisdiction, venue, or forum.
Attorney Fee Recovery
In the event of any legal action, collection proceeding, repossession effort, enforcement action, or dispute arising out of or relating to an auction transaction or these Terms & Conditions, the prevailing party shall be entitled to recover reasonable attorney fees, court costs, collection expenses, administrative costs, and other enforcement-related expenses permitted by law. This provision shall survive payment, transfer of ownership, default, completion of the auction transaction, and termination of the parties' relationship.
Severability
If any provision of these Terms & Conditions is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Any invalid or unenforceable provision shall be modified only to the extent necessary to make it enforceable while preserving its original intent.
Entire Agreement & Acceptance of Terms
These Terms & Conditions, together with any auction-specific announcements, disclosures, invoices, auction listings, bid confirmations, title disclosures, and other written documents expressly incorporated herein, constitute the entire agreement between the parties and supersede all prior oral or written communications, representations, negotiations, or agreements relating to the subject matter herein. No waiver, modification, amendment, or exception to these Terms & Conditions shall be binding unless made in writing by an authorized representative of Powers Equipment Auctions. By registering, bidding, purchasing, accessing the auction platform, attending an inspection, entering auction premises, or otherwise participating in any auction conducted by Powers Equipment Auctions, participants acknowledge that they have read, understood, and agreed to be legally bound by these Terms & Conditions. Participation in any auction constitutes acceptance of these Terms & Conditions in their entirety.
